Terms of Service

Welcome to Nelson Home & Company (“Nelson Home & Company,” “we,” “our,” or “us”). By accessing our website, engaging our services, submitting payment, or entering into any proposal, agreement, consultation, invoice, or project with Nelson Home & Company, you acknowledge and agree to the following Terms & Conditions.

Nelson Home & Company provides interior design, decorating, styling, procurement, project coordination, home staging, and related consulting services for residential and commercial spaces. The scope of services for each project shall be outlined within a written proposal, agreement, invoice, consultation outline, or project summary provided to the client prior to commencement of work.

Clients are responsible for providing accurate information regarding their property, project goals, measurements, budgets, timelines, and site conditions that may impact project execution. Clients further agree to provide reasonable access to the property as necessary for consultations, installations, vendor coordination, deliveries, photography, and project management services.

All concepts, drawings, renderings, floor plans, mood boards, layouts, presentations, specifications, sourcing strategies, and design materials created or presented by Nelson Home & Company remain the sole intellectual property of Nelson Home & Company unless otherwise agreed upon in writing. These materials may not be copied, reproduced, recreated, distributed, implemented, or shared with another designer, contractor, vendor, or third party without prior written authorization from Nelson Home & Company.

Initial walkthroughs and consultations may be offered at the discretion of Nelson Home & Company. However, by engaging with Nelson Home & Company for consultations, renderings, vendor meetings, selections, design planning, sourcing, or project development, the client acknowledges that professional time, creative services, and intellectual property are being provided.

If renderings, layouts, sourcing documents, presentations, vendor selections, or design concepts are prepared and presented and the client elects not to move forward with Nelson Home & Company for implementation or procurement, Nelson Home & Company reserves the right to issue a flat consultation and design development invoice for services rendered. Upon issuance of renderings, downloadable files, presentations, or project access links, the client acknowledges receipt and acceptance of the associated work product and agrees to remit payment within thirty (30) calendar days of invoice issuance. Failure to remit payment within the required timeframe may result in additional late fees, finance charges, collection activity, suspension of services, and any remedies otherwise permitted by law.

Payment schedules, retainers, procurement deposits, installment structures, and project investment amounts are outlined within each proposal, invoice, agreement, or project authorization document. Nelson Home & Company accepts payment via ACH/Wire Transfer, Check, Zelle, Venmo, and all major credit or debit cards unless otherwise agreed upon in writing.

For client convenience, credit and debit card payments are processed through third-party merchant processors. Any payment submitted via credit or debit card will incur an additional 4% processing fee added to the total transaction amount. This fee is assessed directly by the payment processor and is not retained by or considered revenue to Nelson Home & Company.

Returned checks, failed transfers, disputed charges, declined payments, or unpaid balances may be subject to additional administrative fees, finance charges, collection costs, legal expenses, and/or suspension of services until the account has been brought current. Unless otherwise stated in writing, all invoices are due upon receipt. Deposits, retainers, consultation fees, and procurement payments are non-refundable due to the immediate allocation of professional time, labor, sourcing efforts, vendor coordination, and purchasing obligations associated with each project.

If a project is canceled after work has commenced, the client remains responsible for payment for all services rendered, time incurred, approved purchases, restocking fees, storage fees, shipping costs, and any non-cancelable vendor obligations incurred up to the date of cancellation.

By approving any proposal, agreement, invoice, scope of work, procurement request, or submitting payment to Nelson Home & Company, the client expressly authorizes Nelson Home & Company to proceed with sourcing, ordering, purchasing, procurement coordination, vendor communication, and related project execution activities necessary to implement the approved design plan.

Nelson Home & Company works closely with a network of trusted vendors, manufacturers, artisans, distributors, installers, showrooms, and trade partners to curate products and services tailored specifically to each client project. Due to the nature of trade sourcing, preferred vendor relationships, combined purchasing structures, designer pricing programs, freight coordination, and proprietary procurement systems, Nelson Home & Company does not distribute individual vendor invoices, backend supplier documentation, wholesale pricing, internal cost breakdowns, or proprietary sourcing communications.

Client-facing invoices and summaries reflect approved project investment totals and authorized purchases associated with the project scope. This structure allows Nelson Home & Company to efficiently manage logistics, quality control, coordination, procurement strategy, and vendor relationships while preserving the confidentiality and integrity of our sourcing network and business operations.

Nelson Home & Company provides interior design, styling, procurement, and project coordination services only and does not perform construction, plumbing, electrical, HVAC, engineering, structural, or licensed trade services unless explicitly stated otherwise in writing. Contractors, subcontractors, installers, delivery teams, fabricators, and vendors engaged on any project are independent third parties and are not employees, agents, or representatives of Nelson Home & Company.

While Nelson Home & Company may recommend or coordinate with licensed and insured professionals as a courtesy to the client, Nelson Home & Company does not control or guarantee the scheduling, workmanship, labor practices, permitting, code compliance, installation methods, or performance of any third-party contractor or vendor. Nelson Home & Company shall not be held liable for contractor delays, installation damages, workmanship deficiencies, material defects, substitutions, permit issues, structural concerns, or any damages arising from services performed by third parties.

Nelson Home & Company reserves the right to photograph, video record, and publish completed projects, project progress, renderings, and design work for portfolio, editorial, social media, advertising, and marketing purposes unless otherwise requested in writing by the client prior to project completion.

To the fullest extent permitted by law, Nelson Home & Company shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or relating to our services, recommendations, procurement activities, vendor coordination, website use, or project execution. The total liability of Nelson Home & Company for any claim or dispute shall not exceed the total design fees paid directly to Nelson Home & Company for the specific project giving rise to the claim.

Client acknowledges that all design fees paid to Nelson Home & Company are compensation for professional services, expertise, planning, consultation time, project development, design concepts, selections, specifications, sourcing, coordination, and related work performed on the Client's behalf. Accordingly, all design fees, retainers, deposits, consultation fees, and payments for design services are earned upon receipt and are strictly non-refundable, regardless of whether the Client elects to proceed with all or any portion of the project.

In the event the Client cancels, suspends, delays, modifies, transfers, or otherwise discontinues the project for any reason, no portion of the design fee shall be refunded. This provision applies regardless of project status, vendor selection, contractor selection, material purchases, construction commencement, or project completion.

Any unused funds specifically designated for the purchase of products, furnishings, materials, or services from third-party vendors shall be governed by the applicable vendor's return, cancellation, or refund policies and shall not affect the non-refundable nature of Nelson Home & Company's design fees.

Nelson Home & Company maintains established relationships with vendors, suppliers, manufacturers, artisans, contractors, subcontractors, installers, tradespeople, and other service providers. As part of the services provided by Nelson Home & Company, project pricing may include design services, procurement services, project management, sourcing, purchasing administration, contractor coordination, vendor coordination, order management, scheduling assistance, trade discounts, preferred vendor pricing, negotiated pricing, and related professional services.

Unless otherwise expressly authorized in writing by Nelson Home & Company, all project-related purchases, contractor services, trade services, materials, furnishings, cabinetry, millwork, construction services, decorative items, appliances, custom orders, deposits, progress payments, and final payments sourced, quoted, negotiated, coordinated, recommended, managed, or administered through Nelson Home & Company shall be invoiced through and paid directly to Nelson Home & Company.

Clients shall not remit payment directly to vendors, contractors, subcontractors, suppliers, manufacturers, installers, tradespeople, or service providers introduced, sourced, negotiated, coordinated, recommended, or managed by Nelson Home & Company without the prior written consent of Nelson Home & Company.

All checks, wire transfers, ACH payments, electronic payments, Zelle payments, Venmo payments, credit card payments, deposits, procurement payments, progress payments, and final payments associated with project-related goods and services shall be made payable directly to Nelson Home & Company unless otherwise approved in writing.

Nelson Home & Company reserves the exclusive right to coordinate purchasing activities, collect project funds, issue payments to vendors and contractors, administer procurement activities, manage ordering and scheduling, and oversee financial transactions involving vendors, contractors, and trades associated with projects managed by Nelson Home & Company.

Trade pricing, preferred vendor pricing, negotiated pricing, discounted pricing, wholesale pricing, procurement structures, vendor relationships, sourcing strategies, and project-specific pricing arrangements provided through Nelson Home & Company are proprietary and confidential business assets of Nelson Home & Company. Such information may not be used by clients to independently solicit, negotiate, contract with, purchase from, or otherwise engage vendors, contractors, suppliers, manufacturers, or trades introduced through Nelson Home & Company for the purpose of circumventing Nelson Home & Company's procurement process, compensation structure, project management services, or business relationships.

Any direct payment made by a client to a vendor, contractor, subcontractor, supplier, manufacturer, installer, or trade professional without prior written authorization from Nelson Home & Company shall not reduce, offset, eliminate, or otherwise affect any amounts owed to Nelson Home & Company under any signed agreement, proposal, invoice, procurement summary, project authorization, approved scope of work, or related project documentation.

Nelson Home & Company reserves the right to suspend or terminate procurement activities, purchasing services, contractor coordination, vendor management, scheduling assistance, project administration, installations, deliveries, or other project-related services if a client bypasses established procurement procedures, makes unauthorized direct payments, or otherwise interferes with Nelson Home & Company's administration of project-related purchasing and vendor relationships.

Nelson Home & Company may, at its sole discretion, authorize direct client payments to specific vendors, contractors, or trades on a case-by-case basis. Any such authorization must be provided in writing and shall apply only to the specific transaction identified. Such authorization shall not constitute a waiver of this policy and shall not apply to future purchases, vendors, contractors, trades, projects, or procurement activities unless expressly stated in writing by Nelson Home & Company.

By engaging Nelson Home & Company, approving a proposal, signing an agreement, authorizing procurement, approving project selections, submitting payment, or otherwise proceeding with project services, the client acknowledges and agrees to comply with this Procurement, Vendor Payments, Trade Purchasing & Contractor Coordination Policy.

Nelson Home & Company has developed longstanding relationships with vendors, contractors, subcontractors, artisans, manufacturers, suppliers, installers, and trade professionals. As a result of these relationships, Nelson Home & Company may receive access to preferred pricing, negotiated pricing, trade pricing, project-specific pricing, volume pricing, preferred contractor rates, and other pricing structures not otherwise available to the general public.

Any pricing, estimates, proposals, bids, quotations, allowances, or project figures provided by Nelson Home & Company are provided exclusively through Nelson Home & Company and are intended solely for use within projects administered, coordinated, managed, procured, or otherwise serviced by Nelson Home & Company.

Preferred pricing, trade pricing, negotiated contractor pricing, discounted pricing, and vendor-specific pricing extended to Nelson Home & Company are not automatically transferable to clients and shall not be construed as pricing available for direct client engagement with vendors, contractors, subcontractors, suppliers, manufacturers, or trades.

Clients may elect to contract directly with vendors, contractors, subcontractors, installers, manufacturers, suppliers, or trade professionals; however, such direct engagement may result in revised pricing, loss of preferred pricing, loss of negotiated rates, loss of project discounts, revised payment structures, revised scopes of work, or other changes determined solely by the applicable vendor or contractor.

To remain eligible for pricing, discounts, allowances, negotiated rates, trade pricing, preferred contractor pricing, and other project-specific pricing obtained through Nelson Home & Company, all associated payments must be processed through Nelson Home & Company in accordance with the Procurement, Vendor Payments, Trade Purchasing & Contractor Coordination Policy.

Any client who elects to make payment directly to a vendor, contractor, subcontractor, supplier, manufacturer, installer, or trade professional without the prior written authorization of Nelson Home & Company acknowledges and agrees that pricing previously provided through Nelson Home & Company may no longer apply and that Nelson Home & Company shall have no obligation to honor, maintain, negotiate, extend, administer, or enforce any pricing, discounts, terms, allowances, schedules, or project benefits previously offered through Nelson Home & Company's vendor and trade relationships.

These Terms & Conditions shall be governed and interpreted in accordance with the laws of the Commonwealth of Kentucky. Nelson Home & Company reserves the right to modify, revise, or update these Terms & Conditions at any time without prior notice. Continued use of our website or services constitutes acceptance of any revised terms.

Nelson Home & Company does not sell, rent, or distribute personal client information to outside parties. Information may be shared only with vendors, installers, contractors, delivery teams, or service providers directly involved in executing project-related services.

Nelson Home & Company maintains private and proprietary relationships with vendors, artisans, wholesalers, distributors, manufacturers, and trade partners. As part of our business operations, detailed sourcing structures, trade pricing arrangements, procurement strategies, vendor agreements, supplier communications, and purchasing methods remain confidential and proprietary.

To efficiently manage procurement and ordering, Nelson Home & Company may coordinate combined or bulk purchasing activities across multiple projects. Accordingly, vendor invoices, sourcing allocations, shipping structures, internal procurement records, wholesale documentation, and supplier communications remain confidential and will not be distributed.

Client-facing invoices and summaries reflect approved project investments and agreed-upon services rather than backend supplier documentation or proprietary sourcing structures.

While reasonable precautions are taken to protect client information, no method of electronic transmission or storage can be guaranteed fully secure. By engaging with Nelson Home & Company, clients acknowledge and accept these limitations.
